Activist investor Carl Icahn gained enough support on Thursday Illumina Shareholders are demanding the CEO of the biotech company.

Shareholders bid farewell to Chairman John Thompson. An Illumina spokesman said a new chairman would be elected in the next few weeks.

Icahn had urged shareholders to vote the company’s CEO, Francis deSouza, and Thompson out of the nine-member board of directors. DeSouza survived the proxy fight.

Shareholders also voted to appoint one of Icahn’s three director nominees: Andrew Teno, a portfolio manager at Icahn Capital LP, a company where Icahn manages mutual funds.

The vote was announced after Illumina’s annual meeting and marked a decisive end to a two-month proxy battle between Icahn and the company over a controversial acquisition.

Illumina thanked Thompson in a statement for his years of service and said his leadership and business experience is greatly appreciated.

Earlier this month, voting rights advisory firm Institutional Shareholder Services recommended that Illumina shareholders support Teno.

Icahn, who owns a 1.4% stake in San Diego-based Illumina, had proposed two other director candidates who are either his current or former employees.

The vote comes as a blow to Illumina, which has claimed Icahn’s three nominees lack “relevant skills and experience” and would “threaten the progress” of the biotech’s core DNA sequencing business.

Battle to acquire the Grail

Icahn has accused Illumina’s management and board of poor oversight, particularly in light of the company’s $7.1 billion acquisition of cancer test maker Grail in 2021.

He urged the company to scrap the “absurd and questionable” deal and oust deSouza “immediately.”

Icahn has criticized the executive for getting a massive raise despite a sharp drop in the company’s market value.

Illumina’s market cap has fallen to about $33 billion from about $75 billion in August 2021, the month the Grail acquisition closed.

Much of Icahn’s opposition to the deal stems from Illumina’s decision to complete it without the approval of antitrust authorities in the US and Europe.

The Federal Trade Commission in April ordered Illumina to divest itself of the acquisition over concerns it would stifle competition and innovation.

The FTC’s decision overturns a September administrative judge’s decision that dismissed the agency’s original challenge to the deal.

The European Commission, the executive body of the European Union, also blocked the deal last year over similar concerns.

Illumina is appealing both orders and expects final decisions in late 2023 or early 2024.

The company has repeatedly defended its acquisition of Grail.

DeSouza told CNBC last month that the deal “makes sense” because Illumina could significantly expand the market for Grail’s screening test, which can detect more than 50 types of cancer from a single blood draw.

The CEO also cited Grail’s 100 percent revenue growth in the first quarter compared to the same period last year.

In 2022, Grail generated sales of approximately $55 million. Illumina expects to make as much as $110 million this year.

Icahn encountered his own criticism during the proxy dispute.

Noted short seller Hindenburg Research accused Icahn Enterprises of being overvalued and likening the company to “Ponzi-like economies.”

Icahn Enterprises called these claims “misleading and self-serving.”

The European Space Agency’s (ESA) Jupiter Icy Moons Explorer (Juice; formerly known as JUICE) spacecraft, launched on April 14, 2023, has finally completed the deployment of its solar panel arrays and a variety of booms, probes and antennas en route to the largest planet of the solar system.

However, Juice’s first six weeks in space didn’t go as smoothly as the RIME (Radar for Ice Moons Exploration) antenna got stuck and couldn’t be deployed. However, the engineers successfully deployed RIME after solving the problem for over a month. The RIME unit is considered “mission-critical” because its purpose is to map beneath the icy crusts of Jupiter’s three icy worlds: Europa, Ganymede, and Callisto.

“It’s been an exhausting but very exciting six weeks,” said Angela Dietz, the Juice mission’s deputy spacecraft operations manager. “We have faced and overcome various challenges to get Juice in the right shape to get the most out of his journey to Jupiter.”

Deploying the booms and antennas is critical, as they will house either some or all of Juice’s ten instruments, which are made up of different science packages: the remote sensing package, the in situ package, and the geophysical package. Alongside these incredible instruments, Juice will also conduct an experiment known as the Planetary Radio Interferometer & Doppler Experiment (PRIDE), which will aim to use a very long baseline and ground-based interferometry to accurately measure Juice’s velocity and position in space .

This incredible instrument cache will be responsible for exploring Jupiter while conducting 35 flybys of Europa, Ganymede and Callisto, each thought to contain liquid water beneath their icy crusts. Aside from the moons, Juice will also conduct further surveys of the entire Jovian system, as scientists believe it could help paint a clearer picture of gas-giant exoplanets – and possible exomonds that have yet to be discovered – that continue to exist throughout galaxy to be discovered .

Of the 10 Juice instruments, three stand out as being most critical to the mission. These include the previously discussed RIME antenna, which will be responsible for mapping the interior environments of these icy worlds; the JANUS optical camera instrument, capable of capturing images in 13 different colors ranging from violet to near-infrared, and will also image Jupiter’s innermost Galilean moon Io; and the Radio & Plasma Wave Investigation (RPWI) instrument, which will be responsible for creating the first-ever 3D map of Jupiter’s electric fields and the interactions between Jupiter’s massive magnetosphere and the icy worlds of Europa, Ganymede and Callisto.

“Our 3D design strategy makes it possible to measure real physical observables such as energy and momentum without having to resort to theory or simulation to interpret the data,” said Jan Bergman, principal scientist at the Swedish Institute for Space Physics and engineering manager for RPWI.

On his journey to Jupiter, Juice needs some help to get there by 2031. This will be followed by a Venus gravity assist in August 2025, then two more Earth-only gravity assists in September 2026 and January 2029, respectively, before Juice catapults towards Jupiter, arriving there in July 2031. Juice’s main mission is only supposed to last four years, but with 35 flybys of Europa, Ganymede and Callisto, Juice should be able to do a lot of scientific work in that time and teach us more about Jupiter and its many moons.

The NBA has launched an investigation into longtime referee Eric Lewis. It’s about a Twitter account that responded to numerous posts about managing and defending Lewis and other NBA umpires in the league, league sources confirmed to ESPN.

The account in question, which has since been deleted, used the username “Blair Cuttliff” with the handle @CuttliffBlair.

One potential point of contention is a league rule that prohibits umpires from publicly commenting on their official action without permission. If it can be proven that Lewis made such statements, he could face disciplinary action.

Lewis, who is in his 19th season as a referee, has officiated more than 1,100 games and 82 playoff games. He has been one of the highest-rated officials in the NBA in recent years and has played in six finals games since 2019. Most recently, he worked on Game 1 of the Western Conference Finals between the Denver Nuggets and the Los Angeles Lakers on May 16.

Burner accounts have historically been a problem in the NBA. In 2018, Philadelphia 76ers general manager Bryan Colangelo resigned after he and his wife were linked to burner accounts criticizing some of the team’s players. In 2020, then-Golden State Warriors star Kevin Durant admitted he had used multiple burner accounts to interact with fans who were critical of him or his team.

NBA reporter Marc Stein initially reported that the league had launched an investigation into Lewis.

FDA approves Pfizer's Covid drug for high-risk adults

The Food and Drug Administration gave full approval Thursday Pfizers The antiviral Covid pill Paxlovid for adults who are at high risk of becoming seriously ill with the virus.

Paxlovid is specifically recommended for the treatment of mild to moderate Covid in adults over the age of 50 and in people suffering from certain medical conditions that put them at higher risk of ending up in hospital or dying from Covid.

Up to three quarters of adults in the US are at risk of developing serious illness from Covid.

“Today’s approval demonstrates that Paxlovid meets the agency’s strict standards for safety and efficacy and that it remains an important treatment option for people at high risk of developing severe COVID-19 disease, including those with prior immunity,” says dr Patrizia Cavazzoni, director of the FDA’s Center for Drug Evaluation and Research, said in a press release.

The FDA first made Paxlovid available in December 2021 as part of an emergency use authorization for high-risk individuals ages 12 and older. Under this designation, the FDA quickly approved the treatment based on preliminary clinical trial data.

The FDA’s recent decision means there is now extensive clinical data suggesting Paxlovid is safe and effective.

The treatment consists of two drugs: nirmatrelvir, which blocks a key enzyme that the Covid virus needs to replicate, and ritonavir, which boosts the first drug’s ability to fight the infection.

Both Pfizer and the FDA view the treatment as an important adjunct tool to vaccination that can help high-risk Americans manage their Covid infections and ultimately save lives.

FDA researchers estimated, based on Covid rates in January, that Paxlovid “could save 1,500 lives and avert 13,000 hospitalizations each week” in the United States.

However, it’s unclear how many people will receive the treatment later this year.

According to the Department of Health and Human Services, around 4 million doses of Paxlovid are available free of charge from pharmacies and healthcare providers nationwide. In addition, the US government has a stockpile of 9.6 million doses.

Once that stock is depleted, the government expects to shift distribution of Paxlovid to the commercial market.

That means Pfizer will sell Paxlovid directly to healthcare providers at a price the company hasn’t disclosed. Paxlovid currently costs around $530 per course.

Pfizer, whose sales of Paxlovid rose to nearly $19 billion in 2022, expects sales of the drug to fall 58% in 2023.

In March, an independent FDA advisory panel recommended the treatment based on three clinical trials conducted by Pfizer.

One study looked at high-risk adults who were unvaccinated and had no prior Covid infection.

This study found that Paxlovid reduced the risk of hospitalization or death by 86% in adults treated within five days of the first symptoms and by 89% in adults treated within three days, as from a review of the company’s data by the FDA.

The study found no major safety concerns, the review said, although the agency identified 137 drugs that can cause serious side effects when they interact with Paxlovid.

The FDA said the most common drugs causing safety issues are immunosuppressive drugs, which are commonly used to treat HIV and organ transplant patients.

The FDA’s Office of Surveillance and Epidemiology recorded 271 reports of serious adverse events potentially related to drug-drug interactions with Paxlovid at the end of January, including 147 hospitalizations and six deaths.

FDA officials said these events could potentially be avoided by adjusting dosages of certain drugs, increasing patient monitoring, and ensuring product labeling informs prescribers and patients about potential drug interactions.

Another area of ​​concern for some doctors is Paxlovid’s “rebound cases.” This is when patients receiving the treatment find their Covid symptoms come back or test positive soon after their initial recovery.

Reports of these cases emerged shortly after Paxlovid was launched.

How will the brand new EU guidelines on the gender pay hole have an effect on your startup?

How will the new EU rules on the gender pay gap affect your startup?

It has been 66 years since the EU first introduced the principle of equal pay for men and women workers for work of equal value. However, the gender pay gap persists in the EU. On average, women earn around 13% less than men, with significant differences between Member States.

To fill this gap, the European Parliament and Council recently adopted a new set of rules setting out binding pay transparency measures. For the first time in the union’s history, this legislation also tackles intersectional discrimination (based on ethnicity, race, religion, etc.) and addresses the rights of non-binary people.

“This legislation makes it clear that we do not accept any gender pay discrimination in the EU,” said Kira Marie Peter-Hansen, rapporteur for the Committee on Employment and Social Affairs.

The policy applies to all workers with a valid employment contract, collective agreement and established practice, and to all employers in the public and private sectors.

For some companies, this landmark law could simply (and hopefully) mean the normalization of existing practices; for others, it might require a systematic change. But what exactly does it entail?

1. No more wage discrimination

Employers must ensure that their wage structures do not reflect gender differences between workers doing the same work or work of equal value. These are not just salaries, but also all kinds of benefits, such as bonuses and travel expenses.

To help companies (and in particular start-ups and SMEs), Member States should provide employers with training and tools to assess the value of work based on four objective criteria: skills, effort, responsibilities and working conditions.

2. Complete salary transparency

The new rules require companies to provide job seekers with information about the starting salary or salary range of open positions either in the job description or before the interview. However, employers do not have the right to ask for candidates’ salary history.

Employees are also entitled to information about their individual and average wage levels – broken down by gender – for work of equal value. In addition, they have access to the criteria for determining remuneration and career development, which must be objective and gender-neutral.

Member States may exempt employers with fewer than 50 employees from this obligation and allow them to provide these criteria only upon request. However, you should definitely provide ready-made templates to reduce administrative burdens for micro and SMEs.

3. More justice for employees

The burden of proof in wage disputes no longer lies with the employee.

“That is particularly important [this] “has shifted from employee to employer as charges of gender wage discrimination are levied,” Yoko Spirig, co-founder and CEO of Swiss startup Ledgy, told TNW.

“Companies now have to prove that there is no discrimination when challenging, and no longer that the employee has to prove the existence of discriminatory practices.” This step is to be welcomed and sends a clear signal to companies that their payroll data and processes are now in order bring to.”

Employees who have suffered gender pay discrimination can also seek and receive compensation, including full reimbursement of arrears of wages, related bonuses and benefits in kind.

4. Report, report, report

According to the directive, companies with more than 250 employees must report annually on their gender pay gap. This is every three years for employees between 150 and 249, and every eight years for employees between 100 and 149.

Member States can exempt companies with fewer than 100 employees from the tax or oblige them as well.

If the reporting shows a gap of more than 5% that cannot be justified by objective, gender-neutral criteria, a joint salary determination in cooperation with the employee representatives is required.

The aim of the assessment is to identify problems and implement solutions that eliminate gender pay discrimination.

5. Beware of the penalties

Employers who break the rules will face “effective, proportionate and dissuasive penalties” such as fines and even the loss of public benefits.

“I particularly welcome the proposal to penalize companies that fail to address their gender pay gap, as it is imperative for companies to stop resting on their laurels – complacency will get us nowhere,” said Jenny Keisu, CEO of Swedish E- Boat builder X Shore, opposite TNW.

Keisu stressed that all companies should track the gender pay gap “like any other key KPI” even more regularly than required by legislation.

What are the next steps?

The rules will come into force 20 days after their publication in the Official Journal of the EU, which is still pending. They apply to all employers in the union, although smaller companies (micro, start-ups and SMEs) will initially have fewer obligations and more support from Member States.

Because it’s a directive, EU countries have some leeway in how they want to apply the rules and have three years to implement them.

“It is encouraging that the European Parliament is taking a stand and affirming that change needs to happen sooner rather than later,” said Marta Sisí Jiménez, HR manager at Freepik Company, a Malaga-based scale-up.

“[Especially] “For Europe’s growing startups looking to expand, these new rules set out clear guidelines on an issue that was previously unclear,” she told TNW.

But this historic — and imperative — shift may not come without challenges. Jiménez pointed to the potential resistance from founders who are already navigating a difficult environment of falling investment and increasing regulations.

David Perez, vice president of stakeholder relations at Cabify, pointed out another potential challenge: the validity of the required data.

“It has to be taken into account that when analyzing the gender difference, many factors can skew the data, such as the number of women and men in one department compared to another,” Perez told TNW. “That’s why we believe it’s critical to conduct an ad hoc analysis of each job so that a person isn’t being sought based on their gender, but rather what they can bring to the job.”

But whatever challenges may arise, the benefits of ensuring equal pay are large and far-reaching: from creating equality and social justice to increasing business performance and strengthening the economy.

From the point of view of the startup ecosystem in Europe, the new rules promote a level playing field.

“This rule will shape a labor market where big companies and SMEs compete for talent on equal terms and under the same rules,” Perez noted. “A labor market in which this data is reported uniformly and jointly by all companies.”

China’s rover has discovered proof of an historic ocean on Mars

In a study recently published in the National Science Review, a team of researchers led by the China University of Geosciences discuss direct evidence for an ancient ocean and its shoreline that existed in the northern hemisphere of Mars during the Hesperian period, more than three billion years ago . This finding is based on data collected by the China National Space Agency (CNSA) Zhurong rover in the Vastitas Borealis Formation (VBF), located in southern Utopia Planitia on Mars.

The Zhurong rover landed in Utopia Planitia on May 15, 2021 after being ferried from Earth to Mars by the Tianwen-1 orbiter, which is still active around the Red Planet. Originally designed for a mission duration of 90 sols (93 Earth days), Zhurong has far exceeded this time frame. However, Zhurong went into hibernation in May 2022 (Sol 347) to protect itself from the harsh Martian winter. Although the plan was to resume communications with the CNSA in December 2022, this did not materialize and the CNSA recently acknowledged that this could potentially be gone for good.

During its mission, Zhurong has traveled 1,921 meters (6,302 ft), or just under 2 kilometers (1.24 mi), and its altitude has decreased by about 5 meters (16.4 ft). During this hike, researchers used Zhurong’s multispectral camera (MSCam) to perform in situ analyzes of 23 rocks from 106 pairs of panoramic images, and the observations Zhurong made were impressive.

“When we examined the photos returned by these cameras, we found that these exposed rocks had distinct layered structures that were quite different from the common volcanic rocks on the Martian surface or the layered structures formed by wind-blown sand deposits,” said dr Xiao Long, a professor in the School of Earth Sciences at China University of Geosciences and lead author of the study. “These layered structures indicate the properties of bidirectional water flow consistent with the low-energy tidal currents observed in terrestrial coastal environments on Earth.”

Essentially, the study used the rover’s images to uncover evidence of an ancient shoreline that featured tides on Mars. It revisits many previous studies that attempted to plot ancient Martian shorelines using orbiter data, with this mission being the first to conduct such direct in situ analysis of the subject.

On Earth, due to our moon’s gravitational pull, tides step both in front of and behind the coast. Because Mars has two moons, researchers suspect these tides may still exist in the ancient ocean, albeit on smaller scales.

The sedimentary structures observed in the images support the hypothesis that these structures were formed by water currents and not by wind deposition. The researchers also conclude that these sedimentary structures could also have formed during a major retreat of an ancient ocean during the Hesperian period.

Like Earth, the geological history of Mars is divided into distinct epochs, also known as periods: Noachian, Hesperian, and Amazon. It is estimated that the Noah period took place 4.1 to 3.7 billion years ago, the Hesper period 3.7 to 2.9 billion years ago and the Amazon period started 2.9 billion years ago and lasts until today on. Although a pre-Noahian period from 4.5 to 4.1 billion years ago has been identified and debated in the scientific community, no direct evidence for its existence has been found.

With these incredible findings from the Zhurong rover, scientists are gaining new insights into the history of Mars and how much different it might have looked billions of years ago than the cold and arid planet it is today.

“Future exploration and sample return missions in this region will further deepen our understanding of the habitability of Mars and the preservation of traces of life,” said Dr. Long.

Both NASA and China have drawn up numerous plans for a sample-return mission from Mars, as the former is working with the European Space Agency (ESA) to bring Martian samples back to Earth by 2033, and China has announced a timeline to bring samples back in 2031 and you exceed the effort of NASA/ESA by two years. NASA’s Perseverance rover recently began collecting samples, dropping sample tubes full of Martian regolith and pebbles to be collected later by a sample-return mission that’s currently one step ahead of China.

What new discoveries will scientists make about ancient Mars and its ancient shores in the coming years and decades? Only time will tell, and that’s why we do science!
